01A personal letter from the founder
Dear friends and family,
In 2019, I moved to Amsterdam. From an ocean away, I watched my grandfather's health gradually decline for some time, experiencing much of it through phone calls. Then, my husband's grandfather suffered a fall in his home. He wasn't found for two days and ultimately passed away.
Those experiences stayed with me. They made me wonder how many families are living with the same uncertainty, wishing they could be there, wishing they knew more, and wishing they'd noticed something sooner.
I've spent more than ten years designing products for other companies. JimJim is the first one I'm building for us. A gentle, screen-free wearable and companion app designed to recognize subtle changes in an aging loved one's health patterns, helping families stay informed and potentially recognize concerns before they become something more serious.
I've built JimJim this far on my own, without any outside capital. We've developed the app, established the product vision, and started building a community of families who believe in what we're creating. The next step is bringing the wearable itself to life, and I'd rather take that step with the people who know me best than with strangers.
This packet walks through where we are today, what we're working toward, how your investment would help us get there, and what it means to become an early investor in JimJim. There are real challenges and risks ahead, and I want to be as transparent about those as I am excited about the opportunity.
Whether or not you choose to invest, I'm incredibly grateful that you're considering being part of this journey.
At the heart of JimJim is something simple: more time, more peace of mind, and more good days with the people we love.
With love and gratitude,
Alyssa Durante
Founder, JimJim

03Where we are today
04The road ahead
JimJim already has its sensor, from SensorBio. Over the next 90 days, 10 families will wear it while this round is raised. The round then funds the teams that turn it into JimJim.
Testing SensorBio sensors and gathering feedback and data
$150,000 from friends and family
Privacy, algorithms and data
A custom JimJim band and clasp
05How the $150,000 will be used
This initial capital is intended to help us move beyond product concepts and software toward engineering validation, practical hardware development and a clearer path to testing. Tap each part of the bar to see what it covers.
06Understanding your SAFE investment
You'd invest through a SAFE, a Simple Agreement for Future Equity. It's the standard way early startups raise from their first supporters. You aren't buying shares today; you're agreeing to receive them later, on good terms.
You sign a SAFE and send your investment.
Larger investors put a value on the company.
Your investment turns into shares in JimJim.
$5M valuation cap. However much JimJim is worth later, your shares are priced as if it were worth no more than $5 million. That's your reward for investing early.

$5,000,000
If the full $150,000 is raised, this round would own about 3% of JimJim in total. Proposed terms, for discussion; the final terms are in your SAFE.
of JimJim, for a $5,000 investment at a $5M cap.
Assumes later investors buy 20% of the company, so every existing slice shrinks a little.
$5,000 ÷ $5,000,000 = 0.10%
You can't sell, transfer or withdraw a SAFE. There's no market for it, and it may be many years before you see any return, if ever.
Usually when a larger company buys JimJim, or much more rarely when it goes public. There are no dividends along the way.
Uses your choices from the ownership tab, after future rounds, before taxes and fees. A simplified example, not a forecast or a promise. Most startups are never acquired.
If JimJim shuts down, your investment may be worth nothing. This is the most common outcome for early startups.
Devices often take longer and cost more than planned. The study could show the band needs a different approach.
This round covers one step. Building the band needs larger rounds, which may not happen.

08FAQ
No. A SAFE can't be withdrawn or refunded. Your money stays in the company until the SAFE converts to shares, or the company is sold or closes.
No. JimJim will reinvest everything into building the product. Any return would come from an acquisition or a later sale of shares.
When JimJim raises more money, it issues new shares. Your shares become a smaller percentage of a company that is hopefully worth more.
It depends on where you live and your own situation. Please talk to a tax advisor before investing. JimJim can't give tax advice.
If a sale happens before your SAFE converts, you'd typically receive either your money back or the value of your converted shares, whichever is greater. Your SAFE sets the exact terms.
SAFE holders are generally repaid before common shareholders from anything left over. In most shutdowns, little or nothing is left.
